Company Membership

At a directors meeting on 15^th May 2006 it was agreed to formalise membership of the company as required by the articles of association.[1] Clearly, members should include those who have given of their time and expertise since the inception of the Food and to takes into account a procedure to enlist the help and support of potential new members.

Thus, it was decided that:

1) The sector representatives and members of the current committee would be invited to become members in the expectation that they would as was envisaged at the time the company was incorporated.

2) Membership would be restricted to those who are in agreement with the general and specific aims of the Festival.

3) The Organising Committee will invite other members of the community who assist in the running of the Festival to become members.

4) Membership will be restricted to those actively involved in the organisation and running the festival either with practical help and/or through the use of their particular expertise.

[1] APPOINTMENT OF MEMBERS

(1) The subscribers to the Memorandum are the first Members of the Company.

(2) Such other persons as agree to become Members of the Company, whose names are entered in the register of Members, and who are admitted to membership in accordance with the Articles, shall be Members of the Company.

(3) No person shall be admitted as a Member of the Company unless he, she or it is approved by the Directors.

(4) Every person who wishes to become a Member shall execute and deliver to the Company an application for membership in such form ( containing such information) as the Directors require.

TRANSFER AND TERMINATION OF MEMBERSHIP

(1) Membership is not transferable to anyone else.

(2) Membership is terminated if:

(a) the Member dies or ceases to exist;

(b) the Members pass an ordinary resolution expelling the Member; or

(3) No resolution shall be passed under paragraph (2) unless the Member has been given:

(a) at least fourteen clear days’ notice in writing that it is proposed to expel him, her

or it, specifying the circumstances alleged to justify expulsion; and

(b) a reasonable opportunity of being heard by or of making written representations

to the Members passing the ordinary resolution.
