The Emsworth Food Festival

1. NAME

The name of the organisation shall be THE EMSWORTH FOOD FESTIVAL

2. AIMS AND OBJECTIVES

A.   Encourage locals and people living on the periphery to shop in Emsworth

B.   To encourage tourists and day visitors to visit Emsworth

C.  To establish Emsworth as a ‘Unique place to eat, visit and live’

D.  To encourage local businesses to do business with each other rather than with businesses elsewhere

E.   To establish an aesthetic cultural event that improves the living environment for the residents of Emsworth

3. THE COMMITTEE

Membership of the committee shall be open, irrespective of political party, nationality, religious opinion, race, gender or colour.

The Committee will consist of  Full voting members and nonvoting Associate members.

The voting members will number no more than 6 and be drawn from people who live or have a business in Emsworth. There will be a Chairman and Vice-Chairman and representatives of business sectors in Emsworth i.e. Retail, Restaurants, Public Houses, Accommodation. Where appropriate these members will head up a Sub Committee from within these sectors.

Associate members are to be  from a broad group defined as ‘interested parties’ i.e. Havant Borough Council, Havant Borough Partnership, Emsworth Twinning Association, Emsworth Business Association, Emsworth Residents Association. Groups or individuals with specialised skills may also be invited to be Associate members.

The policies and management of the Emsworth Food Festival shall be conducted by the Committee.

The Committee shall also appoint the following officers to act on the Committee’s behalf
 Treasurer
Secretary

These shall be nonvoting positions.

4. TERMINATION OF  MEMBERSHIP.

The committee shall have the right, for good and sufficient reason, to exclude from meetings an individual member, provided that the individual member shall have the right to be heard by the committee before a decision is made.

5. ANNUAL GENERAL MEETING

Once in each year, following within one calendar month, the Committee shall convene an Annual General Meeting for the purpose of:

            Receiving the Annual report of the Committee

            Electing Full Members of the Committee

            Receiving the independently examined financial accounts

            Discussing any other business of which due notice has been received

6. RULES OF PROCEDURE

VOTING: All questions arising at any meeting shall be decided by a majority of those voting members present. The Chairman shall have the casting vote.

QUORUM: two-thirds of the voting members shall form a quorum at all meetings.

MINUTES: Accurate minutes of all meetings shall be recorded by the secretary.

7. FINANCE

All Monies raised on or on behalf of the Emsworth Food Festival shall be applied to further the objectives of the Emsworth Food Festival.

The treasurer shall keep proper account of the finances of the Emsworth Food Festival and a nominated independent examiner shall review these records on an annual basis.

The Festival will  be organised and run entirely by unpaid volunteers.
